These Terms of Use ("Terms") govern your access to and use of the OasisFlow website and payment processing services operated by Oasis Flow LLC ("OasisFlow," "we," "us," or "our"). Please read them carefully before using our services.
Acceptance of terms
By accessing our website or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our services.
Our services
OasisFlow provides payment processing services for businesses, including in-person card acceptance, e-commerce integrations, invoicing, and related merchant services. Our services are provided subject to a separate merchant services agreement that governs the processing of payment transactions.
Eligibility
To use OasisFlow's services, you must:
- Be at least 18 years of age
- Be a business entity or sole proprietor operating lawfully in the United States
- Have the authority to bind your business to these Terms
- Not be prohibited from receiving services under applicable law
Your responsibilities
You agree to:
- Provide accurate, current, and complete information when creating an account or contacting us
- Maintain the security of your account credentials and notify us immediately of any unauthorized access
- Comply with all applicable laws and regulations, including those governing card acceptance, consumer protection, and data privacy
- Comply with card network rules (Visa, Mastercard, Amex, Discover) as applicable to your account
- Maintain adequate records of your transactions for a period of at least five years
Prohibited uses
You may not use OasisFlow's services to process payments for:
- Illegal goods or services under federal, state, or local law
- Transactions involving money laundering, fraud, or other financial crimes
- Businesses or product categories prohibited by our banking partners or card networks
- Any activity that violates these Terms or our merchant services agreement
You may not use our website to:
- Attempt to gain unauthorized access to any part of our systems
- Transmit malware, spam, or other harmful content
- Scrape or systematically extract data without our written consent
Fees and payment
Fees for payment processing services are set forth in your merchant services agreement and are subject to change upon notice. You authorize OasisFlow to deduct fees from your settlement proceeds or charge them to a funding source on file.
All fees are non-refundable unless otherwise stated in your merchant services agreement or required by law.
Termination
Either party may terminate the services relationship upon notice as set forth in your merchant services agreement. OasisFlow reserves the right to suspend or terminate your access immediately if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, or pose a risk to OasisFlow, our banking partners, or cardholders.
Upon termination, any outstanding fees remain due and payable, and we may hold funds for a period necessary to cover potential chargebacks or disputes.
Disclaimer of warranties
Our website and services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components.
Limitation of liability
To the maximum extent permitted by law, OasisFlow and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — our services, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising from these Terms or the use of our services shall not exceed the fees paid by you to OasisFlow in the three months preceding the claim.
Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts.
